On successful completion of this module the learner will be able to:

MLO1 Discuss the main forms of trading available under Irish law.
MLO2 Describe the formation and governance of a registered company in Ireland in compliance with company law legislation.
MLO3 Evaluate the obligations and rights of shareholders, directors, the company secretary and the auditors of a registered company in Ireland.
MLO4 Discuss the circumstances giving rise to examinership, receivership and liquidation and the respective roles of the examiner, receiver and liquidator.
MLO5 Analyse the functions and role of both the CRO and the ODCE in company registration and compliance.

Forms and characteristics of registered company. Concept of Sole Trader and Partnership. Comparison between Registered Company and Sole Trader and Partnership. Advantages and Disadvantages of Each.
Formation and Governance of a Registered Company in Ireland.
Corporate Governance. Corporate Authority and Capacity. Meetings, Membership and Shares. Protection of Minorities. Capital Maintenance. Company Borrowing.
Management and Administration of a Registered Company
Duties of directors, the company secretary and the auditors. Restriction and Disqualification of Directors.
Examinership, Receiverships and Liquidations
Circumstances giving rise to examinerships, receiverships and liquidations. Respective roles of examiner, receiver and liquidator.
The Companies Registration Office and the ODCE
Roles of the CRO and the ODCE.
